Terms and Conditions

Effective Date: 18/09/2025
These Terms & Conditions (“Terms”) govern your use of the services provided by DK Consulting (“we”, “us”, “our”). By engaging our services, you agree to be bound by these Terms.
Services
• DK Consulting offers HR consulting services, including executive recruitment, change & project management, organisational             development, HR strategy, risk & compliance support, and workforce development.
• We agree to perform the services as outlined in our proposal or service agreement with you (the “Client”), in a professional,               timely and diligent manner.
Client Obligations
• The Client will provide all information, documentation, and approvals necessary for us to deliver the services.
• The Client will cooperate reasonably with DK Consulting in scheduling, meetings, and any required support.
• The Client is responsible for ensuring that any materials or instructions provided to us are accurate, lawful, and do not infringe           third-party rights.
Fees & Payment
• Our fees for services will be as set out in the written proposal or agreement.
• Invoices are due and payable within 30 days of invoice date, unless otherwise agreed in writing.
• Late payments may incur interest or service suspension, subject to South African law.
• Additional costs (e.g. travel, external assessments) will be agreed in advance and billed separately.
Confidentiality
• We will treat all client information as confidential and will not disclose it to any third party, except as required by law or with the         Client’s consent.
• This obligation continues after the termination of the service agreement.
• Employee, candidate, financial, or strategic information will be protected.
Intellectual Property
• Any intellectual property created by us in the course of delivering the services (reports, frameworks, materials) remains our              property unless otherwise agreed in writing.
• The Client is granted a non-exclusive, non-transferable right to use such IP for internal purposes only.
Liability
• DK Consulting will perform services with due care and skill, but we cannot guarantee outcomes beyond our control.
• We exclude liability for any indirect, incidental, or consequential loss arising from our services.
• Our total liability in respect of any single claim or series of related claims will not exceed the total fees charged for the specific         service(s) giving rise to the claim.
Data Protection & Compliance
• We will comply with the Protection of Personal Information Act, No. 4 of 2013 (POPIA), as well as other applicable data protection         laws.
• We will only use personal data you provide for the purposes of delivering our services.
• We implement reasonable security measures to protect personal data.
• You have rights (access, correction, deletion, etc.) in relation to your personal data, as described in our Privacy Policy.
Termination
• Either party may terminate the service agreement with [number] days written notice, or immediately in the case of a material          breach.
• Upon termination all outstanding fees become payable.
• We may keep copies of relevant records and data for legal / regulatory requirements even after termination.
Force Majeure
• Neither party is liable for failure or delay in performance caused by circumstances beyond reasonable control (natural disasters,    strikes, pandemics, etc.).
• The party affected must notify the other promptly and attempt to mitigate the effects.
Governing Law & Dispute Resolution
• These Terms are governed by the laws of the Republic of South Africa.
• Any dispute arising out of or in connection with these Terms will be first referred to mediation. If mediation fails, the dispute may      be resolved in the courts of competent jurisdiction in South Africa.
Amendments
• We reserve the right to modify or update these Terms at any time.
• We will notify existing clients of changes, and updated Terms will be available on our website.
